By using any of our Services, even just browsing one of our websites, you’re agreeing to the Terms. If you don’t agree with the Terms, you may not use our Services.


These terms and conditions ("Agreement") set forth the general terms and conditions of your use of the Brillday website ("Website" or "Service") and any of its related products and services (collectively, "Services").

This Agreement is legally binding between you ("User", "you" or "your") and this Website operator ("Brillday", "we", "us" or "our"). By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms "User", "you" or "your" shall refer to such entity.

If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Website and Services. You acknowledge that this Agreement is a contract between you and Brillday, even though it is electronic and is not physically signed by you, and it governs your use of the Website and Services.

This Agreement will govern your use of Brillday from any device (laptop, tablet, mobile).


Age requirement

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age.


Terms and Definitions

User: Supplier or client. 

Client: Anyone procuring services from a supplier, supplier’s manager with Brillday.

Supplier: Any of services, provider’s manager registered with Brillday. 

Supplier’s manager: The manager will input the information regarding the supplier and create packages that are bookable to their suppliers.

Listing: A list of Suppliers, organized on Brillday. 

Package: A bookable service, created by the supplier. Includes, but is not limited to, images, description and pricing. 

Individual Package: A bookable individual package offered to a Client on Brillday. 

Deposit: Paid by the client, to secure the booking and confirmed by the supplier.

Confirmed Booking: When the supplier accepts the booking from the client.

Referral or referral supplier: The supplier registered on Brillday. Supplier becomes a Referral Supplier for any suppliers in own team or Brillday listing by sharing with clients/leads the referral links on: own profile on Brillday, own team page on Brillday, Any profile page of a Supplier on Brillday. 


How Brillday sources and uses information in local listings

To provide users with the most complete and up-to-date information about places, Brillday displays local wedding services listings on Brillday.


Information in local listings is compiled from a variety of sources:


Publicly-available information, such as crawled web content (e.g., information from a business’ official website).


Users who contribute factual information (such as addresses and phone numbers), and content (such as photos, videos, and reviews), including business owners who claim local listings through Brillday.

If you believe a local listing is inaccurate or should be removed, you can suggest an edit or flag it for removal. If you believe a local listing should be removed under European data protection laws, please contact the Brillday support team. If you believe it should be removed for any other legal reason, please submit a legal request.



We carefully developed criteria in alignment with the requirements of European data protection laws. The criteria help us identify situations in which the data subject’s interests outweigh the public’s interest in showing local listings (i.e., allowing consumers to access information about businesses), under a GDPR legitimate interest balancing test.


After a request is submitted to us, it undergoes a manual review. Our evaluation process consists of 4 main steps:


- Does the request contain all the necessary information to make a decision?

- Does the person making the request have a connection to a 

European country, such as residency or citizenship?

- Does the request relate to information that is subject to European data protection laws?

- Is there an overriding public interest in that information remaining available in the circumstances?

• Represent us, enter into contracts or accept legal documents in our name

Operate as our process or service agents.


Searching

You can search for Services by using criteria like the type of Services, Wedding dates and destination. You can also use filters to refine your search results. Search results are based on their relevance to your search and other criteria. 


Booking

To make a Booking, you may need to create an Account. Please make sure all your info (including payment and contact details) is correct and up to date. You’re responsible for anything that happens with your Account, so please don’t let anyone else use it, and please keep your username and password secret.

When you receive the booking confirmation, a contract for the Supplier is formed directly between you and the Supplier. In addition to these Terms, you will be subject to, and responsible for complying with, all terms of the Reservation, including without limitation, the cancellation policy, and any other rules, standards, policies, or requirements identified in the Listing or during the service providing that apply to the Booking. It is your responsibility to read and understand these rules, standards, policies, and requirements prior to booking a Listing.

When you make a Reservation, you agree to pay the cost of the Services, including any charges and taxes that may apply.


Payment

If you know of or suspect any fraud or unauthorized use of your Payment Method, please contact your payment provider, who may cover any resulting charges, possibly minus an excess. If you are sure you have been falsely charged, please contact us immediately. Your card issuer may charge you a transaction fee.


Cancellation and Refunds

In the event of Supplier cancellation, you should ask for a full refund of the money paid. In case of issues with a refund, we could support you to resolve it but not guarantee the result.

If you cancel a Booking or don’t show up, any cancellation/no-show fee and any refund will depend on the Service Supplier’s cancellation policy.

Some Bookings can’t be canceled for free, while others can only be canceled for free before a deadline.

The Supplier may cancel the Booking without notice if they can't collect the balance on the date specified. If they do, any non-refundable payment you’ve made will only be refunded at their discretion. It's your responsibility to make sure the payment goes ahead on time (that your bank, debit card or credit card details are correct, and that there's enough money available in your account).


Best price guarantee

We want clients to get the best possible price every time. In the event, if before the booking you found the lower price of supplier’s packages and services on other web resources than indicated on Brillday, you have the right to ask for reducing the cost of these services to the level of prices indicated on other resources you found. In case if a supplier refuses to reduce the price, you should contact our support team.


If you are a Supplier

Your Listing must include complete and accurate information about your Service, your price, other charges, and any rules or requirements that apply to your Clients or Listing. You are responsible for keeping your Listing information and content (like photos) up-to-date and accurate at all times.

You may submit new content and comment on the existing content on the Website. By uploading or otherwise making available any information to the Brillday, you grant the Brillday the unlimited, perpetual right to distribute, display, publish, reproduce, reuse and copy the information contained therein. You may not impersonate any other person through the Website and Services. 

You may not post content that is defamatory, fraudulent, obscene, threatening, invasive of another person's privacy rights or that is otherwise unlawful. You may not post content that infringes on the intellectual property rights of any other person or entity. You may not post any content that includes any computer virus or other code designed to disrupt, damage, or limit the functioning of any computer software or hardware. 

By submitting or posting content on Brillday, you grant Brillday the right to edit and, if necessary, remove any content at any time and for any reason. 

Testimonials are received in various forms through a variety of submission methods. The testimonials are not necessarily representative of all of those who will use Website and Services, and Brillday is not responsible for the opinions or comments available on the Website, and does not necessarily share them. All opinions expressed are strictly the views of the reviewers.

Some testimonials may have been edited for clarity or shortened in cases where the original testimonial included extraneous information of no relevance to the general public. Testimonials may be reviewed for authenticity before they are available for public viewing. 


Indemnification and warranties

You are responsible for understanding and complying with any laws, rules, regulations, and contracts with third parties that apply to your Listing or Services. If you have questions about how local laws apply you should always seek legal advice.

While we have made every attempt to ensure that the information contained on the Website is correct, Brillday is not responsible for any errors or omissions, or for the results obtained from the use of this information. All information on the Website is provided "as is", with no guarantee of completeness, accuracy, timeliness or of the results obtained from the use of this information, and without warranty of any kind, express or implied. In no event will Brillday, or its partners, employees or agents, be liable to you or anyone else for any decision made or action taken in reliance on the information on the Website, or for any consequential, special or similar damages, even if advised of the possibility of such damages. Information on the Website is for general information purposes only and is not intended to provide any type of professional advice. Please seek professional assistance should you require it. Information contained on the Website are subject to change at any time and without warning.

Brillday is not an agency. Brillday does not represent any party and we are not a supplier, supplier’s manager, or client in our own right of any kind. Brillday does not charge any fees from clients or leads for services provided by suppliers. The Supplier is fully responsible for charging deposit fees as well as other charges according to agreed conditions with the client.  

With Brillday Messages, you have the ability to communicate directly with your clients or other Brillday members. Messages may not be used for the following activities:

  1. Sending unsolicited advertising or promotions, requests for donations or spam;
  2. Harassing or abusing another member or violating our Anti-Discrimination Policy;
  3. Contacting someone after they have explicitly asked you not to;
  4. Interfering with a transaction or the business of another member.

You must not provide personal details, contact information or your website links to the client besides bank details until a booking has been made. Doing so can result in a ban or termination of your account. 

You recognize and understand that signing up to the website and sending a quote does not guarantee messages will be seen and it does not in any way guarantee work for the suppliers. 

You give us full permission to change or add information to your public profile page at our discretion and use the information on the website posted as your “official website” in order to increase the quality or presentation of your public profile.

You will respond fully, truthfully, and within one business day to any request for information or other inquiry from Brillday. You grant Brillday the unlimited, perpetual right to contact any clients or leads for any reason. 

By submitting content to the Brillday website, you are granting us the freedom to use such material for business purposes in any form, in any media via whichever technology we choose.

You must contact a client only with the Brillday website before a booking has been made; please no contact a client with an offer, suggestion or advice to continue communication outside of the Brillday platform. If the lead you’ve got on Brillday contacted you via not Brillday website you must return the dialog on Brillday platform and answer from your associated account. Get in touch with a Brillday Supplier Team member if a client asks you for that before making a booking. 

In the event of extenuating circumstances in which the deposit cannot be paid via the Brillday website then the payment can be dealt with between the supplier and the client without the input of Brillday, the supplier will be held responsible for paying the 10% commission to Brillday or to Referral within 7 days after the deposit is paid. 

When you accept a booking request or receive a booking confirmation through the Brillday, you are entering into a contract directly with the Client, and are responsible for delivering your Service under the terms and at the price specified in your Listing and booked Services. Any terms, policies or conditions that you include in any supplemental contract with Clients must: (i) be consistent with these Terms, the information provided in your Listing, and (ii) be prominently disclosed in your Listing description.

All travel fees, extra costs, taxes, etc, should all be included in the Packages or individual quotes sent to the client. You agree that all packages are available for booking at a set price. You will respond fully to processing deposit payments as well as other payments. 

After a booking has been made you must not contact the client in any other way than the means provided by Brillday. This includes but is not limited to social media.


Best price guarantee

We want clients to get the best possible price every time. You agree the prices of your packages or services indicated on the Brillday are the lowest of all identical prices for your packages or services posted on other websites. In the event, if before booking the client found a lower price of your packages and services on other web resources than indicated on Brillday, you agree to reduce the cost of these services to the level of prices indicated on other resources.


Search Ranking

The ranking of Listings in search results on Brillday depends on a variety of factors, including these main parameters:

Client search parameters,

Listing characteristics (e.g. price, calendar availability, number and quality of images, Reviews, age of the Listing, average Client popularity),

Clients booking experience (e.g. customer service and cancellation history of the Clients, ease of booking),

Clients preferences (e.g. previous bookings, saved Listings, the location from where the Client is searching).


If you cancel

If you cancel a booking, you must notify the Brillday team immediately.

If you do not show up to an event without notifying the client or supplier your profile may be terminated immediately. You must refund all paid funds in full to the client during 7 days period.


If client cancels

If a client cancels a booking, it is up to you as to whether you wish to refund any previous payments you had got from the client. This will depend on what you set in your own Terms and Conditions. You must refundable funds in full to the client during 7 days period.


The membership and Fees

The membership in the listing of Brillday is fee-free. 

The Brillday platform for suppliers is based on the principle “Pay as you go” and a mutually beneficial Referral program. You do not need to pay any fees until you get a booking. Each Supplier has the right to be a referral (Referral Supplier) and recommend or promote services of other Suppliers getting referral fees. 

To earn referral fees any Suppliers should create their own team of recommended suppliers by inviting them with the provided link by Brillday. Supplier becomes a Referral Supplier for any suppliers in own team or Brillday listing by sharing with clients/leads the referral links on:

Own profile on Brillday

Own team page on Brillday

Any profile page of a Supplier on Brillday

Referral Suppliers choose at their own discretion the channels for sharing the referral links (email, social media, chats, official website, etc). 

Brillday automatically embeds the record with the Referral name in the request from the client or lead first used on Brillday. In the event of being booked on the Referral links, you must immediately inform the Referral Supplier about the booking and pay the referral fee within 7 days after getting the payment from a client. The amount of the referral fee is 10% of the total price of the booked package. 

Referral Supplier has the right for getting referral fees within a 180 days life-time period of referral link, starting from the first client’s or lead’s request on the profile page of any team member of Referral Supplier.  

You understand that if you or the client cancels a booking for whatever reason, then the referral fee or any fees made to Brillday or Referral Supplier could not be refunded to you. 

Brillday makes every effort to promote your profile. We purchase offsite advertising from a network of participating partners, social networks, and search engines. A client/lead makes any request on your profile page, and then books your services within 180 days, in this case, you must pay us 10% fee (of the total price of the booked package) on this booking. You must immediately inform (via support@brillday.com) the Brillday team about the booking of your services and pay us the fee within 7 days after getting the payment from a client. In case of violation of the mentioned period, we have the right to suspend your account until making the payment.  

You have the right to stop membership of Suppliers in your team at any time via requesting the Brillday support team. 

Brillday has the right to add any prices or services at any time. We have the right to alter pricing at any time. You will be notified of this change before it happens.

You are responsible for paying all fees to Brillday or Referral as set by our payment and pricing terms. Brillday accepts the following forms of payment: Visa, Mastercard, PayPal, Wired transfer. 


User content

We do not own any data, information or material (collectively, "Content") that you submit on the Website in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review the Content on the Website submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable. You also grant us the license to use, reproduce, adapt, modify, publish or distribute the Content created by you or stored in your user account for commercial, marketing or any similar purpose. 


Reporting Unauthorized Content

Brillday has great respect for intellectual property rights and is committed to following appropriate legal procedures to remove infringing content from the Services. If content that you own or have rights to has been posted to the Services without your permission and you want it removed. If Your Content is alleged to infringe another person’s intellectual property, we will take appropriate action, such as disabling it if we receive proper notice or terminating your account if you are found to be a repeat infringer.


Termination By Brillday

We may terminate or suspend your account (and any accounts Brillday determines are related to your account) and your access to the Services should we have reason to believe you, your Content, or your use of the Services violate our Terms. If we do so, it’s important to understand that you don’t have a contractual or legal right to continue to use our Services. Generally, Brillday will notify you that your account has been terminated or suspended unless you’ve repeatedly violated our Terms or we have legal or regulatory reasons preventing us from notifying you.

If you or Brillday terminate your account, you may lose any information associated with your account, including Your Content.


We May Discontinue the Services 

Brillday reserves the right to change, suspend, or discontinue any of the Services for you, any or all users, at any time, for any reason, including those laid out in Brillday’s policies under these Terms of Use. We will not be liable to you for the effect that any changes to the Services may have on you, including your income or your ability to generate revenue through the Services.


As a User of the Services, you agree not to: use the Services for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes our rights or the rights of others; “Harvest,” “scrape,” “stream catch” or collect information from the Services using an automated software tool (including but not limited to use of robots, spiders, or similar means), or manually on a mass basis (unless we have given you separate written permission to do so); presenting a page from this Website in a window that does not belong to Brillday by means of the technique known as "framing", unless expressly authorized by Brillday. Inserting an image presented on the Website on a page that does not belong to Brillday by means of the technique known as "inline linking", unless expressly authorized by Brillday. This includes, for example, information about other Users of the Services and information about the offerings, products, services, and promotions available on or through the Services; use the Services to gain competitive intelligence about us, the Services, or any product offered via the Services or to otherwise complete with us or our affiliates, or use the information on the Services to create or sell a similar product or information; use the Services to promote spamming, chain letters, or other unsolicited communications.

You must not reproduce or copy this website, any of its contents or users without first receiving written and signed prior consent. If you do copy anything, you are responsible for anything that you copy or reproduce and this is not associated with Brillday in any way. 


Backups

We perform regular backups of the Website and its Content, however, these backups are for our own administrative purposes only and are in no way guaranteed. You are responsible for maintaining your own backups of your data. We do not provide any sort of compensation for lost or incomplete data in the event that backups do not function properly. We will do our best to ensure complete and accurate backups, but assume no responsibility for this duty.


Intellectual property rights

Means all present and future rights conferred by statute, common law, or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by Brillday or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with Brillday. All trademarks, service marks, inventions, know-how, potentially patentable business method material, HTML code and/or other computer code and/or scripts, design logos, phrases, names, logos, graphics, and logos used in connection with the Website and Services, are trademarks or registered trademarks of the Brillday or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Website and Services may be the trademarks of other third parties. Your use of the Website and Services grants you no right or license to reproduce or otherwise use any of the Brillday or third-party trademarks.


Limitation of liability

You understand that Brillday does not provide, store, or inspect any of the services offered through our Services. We provide the venue; the items in our marketplaces are produced, listed, and sold directly by independent Suppliers, so Brillday can't and does not make any warranties about their quality, safety, or even their legality. Any legal claim related to an item you purchase must be brought directly against the Supplier of the Service. You release Brillday from any claims related to items sold through our Services. Our Platform is not a recommendation or endorsement of any Supplier or its products or services.

Brillday is not responsible for any cancellations or postponements that may occur as a result of any unforeseen events or acts that may prevent booking from going ahead because of such events or acts but are not limited to war, epidemics, pandemics, riots, fires, hurricanes, floods, death, typhoons, earthquakes, strikes, lockouts, prolonged shortage of energy supplies, and acts of governmental action prohibiting or impeding any party from performing its respective obligations.

It is also the responsibility of the parties individually to get in touch and discuss options regarding the bookings; the T&Cs and any cancellations or postponements. 


People You Interact With 

You can use the Services to interact with other individuals, either online or in person. However, you understand that we do not screen users of our Services, and you release us from all liability relating to your interactions with other users. 


Third-Party Services

Our Services may contain links to third-party websites or services that we don’t own or control. When you access these third-party services, you do so at your own risk. The third parties may require you to accept their own terms of use. Brillday is not a party to those agreements; they are solely between you and the third party.

Brillday allows registered Users to input images, videos, testimonials and comments and assessments of the published services. The content published is prepared either by Users or by using Brillday´s own or external sources. Brillday does not guarantee in any way the accuracy of the features regarding the contents and services published and is expressly exempt from any liability for damages of any kind that may result from the lack or errors in the description and characteristics of the content published. 

We are not responsible for any harm, virus, etc that occurs to your computer, tablet, mobile or any device that you use to access our emails or the website. 


Disputes with Other Users

Users agree to resolve any dispute that may arise between them regarding the content of the Personal Page without the mediation of Brillday.

If you find yourself in a dispute with another user of Brillday’s Services or a third party, we encourage you to contact the other party and try to resolve the dispute amicably. Brillday has no obligation to resolve any disputes. You release Brillday from any claims, demands, and damages arising out of disputes with other users or parties.


Changes and amendments

We reserve the right to modify this Agreement or its terms relating to the Website and Services at any time, effective upon posting of an updated version of this Agreement on the Website. When we do, we will revise the updated date at the bottom of this page. Continued use of the Website and Services after any such changes shall constitute your consent to such changes.


Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website and Services.
